A practical guide to investing in private UAE businesses
How private investing in UAE startups and SMEs works, the risks involved, and the questions to ask before you commit.
What private investing means
Investing in a private business means buying a stake in a company that is not listed on a stock exchange. In the UAE that can range from an early-stage technology startup in Dubai to an established, cash-generating local business.
Returns, if any, usually come from a future sale of the company, a later funding round at a higher value, or dividends from profitable businesses.
The main risks
Private investments are very different from listed shares:
- Loss of capital — many early-stage companies fail, and you can lose everything you invest
- Illiquidity — there is usually no easy way to sell before an exit, which can take many years
- Dilution — future rounds can reduce your percentage ownership
- Limited information — private companies share less than listed ones
- Valuation uncertainty — prices are negotiated, not set by a market
Startups versus established SMEs
Startups offer the possibility of large returns with a high chance of failure. Established SMEs may offer steadier performance and sometimes income, but less upside. Many investors hold a mix and size each position so that a total loss would be acceptable.
Questions to ask before investing
- What exactly am I buying — shares, a convertible instrument, or something else?
- What is the valuation, and how was it reached?
- Who else is investing, and on the same terms?
- What information will I receive, and how often?
- What rights do I have, and how could I eventually exit?
- Is the opportunity being offered in compliance with UAE rules?
Building a sensible approach
Diversify across several businesses rather than concentrating in one. Only invest money you can afford to lock up for years. Take independent financial and legal advice, and be wary of anyone promising guaranteed or unusually high returns.
